1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SocialSquared ("we," "our," or "us"), a digital marketing agency registered in Ontario, Canada. By accessing or using our website at socialsquared.ca or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

SocialSquared provides digital marketing services including, but not limited to, website design and development, search engine optimization (SEO), social media marketing, paid advertising, content marketing, email marketing, and marketing automation. The specific scope, deliverables, and terms of any engagement will be outlined in a separate service agreement or proposal provided to the client.

3. Use of Website

You agree to use our website only for lawful purposes. You may not:

• Use the website in any way that violates applicable federal, provincial, or local laws.
• Attempt to gain unauthorized access to any part of the website, its servers, or any connected systems.
• Use the website to transmit harmful, offensive, or disruptive content.
• Reproduce, duplicate, copy, sell, or exploit any portion of the website without our express written permission.
• Use automated tools, bots, or scrapers to access the website without prior written consent.

4. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, code, designs, and software, is the property of SocialSquared or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from this website without our prior written consent.

For client projects, intellectual property ownership and usage rights will be defined in the applicable service agreement.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for us to perform the agreed-upon services.
• Respond to requests for feedback, approvals, and content within reasonable timeframes.
• Ensure that any content, materials, or data you provide to us do not infringe on the intellectual property rights of any third party.
• Comply with all applicable laws and regulations related to your business and industry.

6. Payment Terms

Payment terms, including fees, billing schedules, and accepted payment methods, will be outlined in the applicable service agreement or proposal. Unless otherwise stated:

• Invoices are due upon receipt or within the timeframe specified in the service agreement.
• Late payments may be subject to interest charges or suspension of services.
• All fees are quoted in Canadian dollars (CAD) unless otherwise specified.
• Applicable taxes will be added to all invoices as required by law.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, marketing data, customer information, login credentials, and financial information. This obligation survives the termination of any service agreement.

8. Limitation of Liability

To the fullest extent permitted by law, SocialSquared shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of our website or services.

Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to SocialSquared in the twelve (12) months preceding the claim.

We do not guarantee specific results from our marketing services, as outcomes depend on numerous factors beyond our control including market conditions, competition, and client participation.

9. Termination

Either party may terminate a service engagement in accordance with the terms outlined in the applicable service agreement. Upon termination:

• You remain responsible for payment of all fees for services rendered up to the date of termination.
• We will provide reasonable assistance in transitioning services and delivering any completed work product.
• Any licenses granted for the use of third-party tools or platforms may be revoked.

10. Indemnification

You agree to indemnify and hold harmless SocialSquared, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our website, your breach of these Terms, or your violation of any law or the rights of a third party.

11. Third-Party Services

Our services may involve the use of third-party platforms, tools, and services (e.g., Google Ads, Meta, hosting providers). We are not responsible for the terms, policies, or actions of any third-party provider. Your use of such services is subject to their respective terms and conditions.

12. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Ontario, Canada.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

15. Severability
